The Role:

We’re seeking an enthusiastic and experienced Company Secretary to join our dedicated governance team. This is a permanent, full-time position supporting our Legal Entity Management team, providing secretarial support to a Tier 1 Investment Banking client. You will be integral to the client’s Board and Committee governance, with direct access to senior management.
The ideal candidate is passionate about corporate governance, eager to improve processes, and comfortable working in a fast-paced, collaborative environment. This role offers broad exposure to governance activities and the autonomy to manage your workload and procedures.
You will lead interactions with Board directors and senior executives, demonstrating excellent communication skills and the ability to build relationships and deliver exceptional service.
Key Responsibilities:

Board / Committee matters:

Provide high-quality secretarial and governance support, organize meetings, prepare minutes, distribute papers timely, and monitor action items.
Governance responsibilities:

Promote consistent governance standards, support and train directors and management on governance practices, and assist with regulatory and governance projects.
Legal entity matters:

Maintain corporate records, support application of procedures, oversee data in Diligent Entities, create investment structure charts, and report on entity status to senior management.
Compliance and Regulatory matters:

Support KYC, AML, audit, and regulatory information requests, ensuring timely responses.

Essential Criteria:

Undergraduate degree
Qualified Chartered Secretary or equivalent legal professional qualification
2-3 years' experience in company secretarial or compliance/regulatory roles, preferably in banking or financial services
Knowledge of UK, European, and US regulatory environments
Client-facing experience
Strong minute-taking skills
Commercial awareness and ability to work with business managers
Excellent communication and presentation skills
Proficiency in Microsoft Office, especially Excel
Legally eligible to work in the UK
Desirable Criteria:

Experience with entity management software like Diligent Entities
Familiarity with board management tools such as BoardVantage or Diligent Boards
Experience engaging with senior stakeholders, including non-executive directors, within financial services
Knowledge of Pan-European investment structures
Personal Qualities and Behaviours:

Excellent organizational skills and attention to detail
Proactive, solutions-oriented, and able to work under pressure
Gravitas to engage with senior leaders and influence outcomes
Self-motivated, collaborative, and driven
Additional Information:

As part of an ISO-compliant center, the candidate must follow policies on Information Security Management. Maintaining security of company and client assets is essential.
